Acceptance of Terms

By accessing and using the services provided by FusionCrate AG ("Company", "we", "us", or "our"), you ("Client", "you", or "your") agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

These terms constitute a legally binding agreement between you and FusionCrate AG, a company registered in Germany under registration number HRB621697.

1. Service Description

FusionCrate provides professional legal and financial advisory services specifically designed for startups and early-stage businesses. Our services include but are not limited to:

  • Business structure and formation advisory
  • Financial compliance and tax guidance
  • Legal documentation and contract services
  • Financial planning and analysis
  • Risk management and regulatory compliance
  • Ongoing business support and consultation

All services are provided in accordance with German law and European Union regulations.

2. Client Obligations

As a client of FusionCrate, you agree to:

  • Provide accurate, complete, and timely information necessary for the provision of services
  • Cooperate fully with our team and respond promptly to requests for information
  • Pay all fees and charges in accordance with the agreed payment terms
  • Comply with all applicable laws and regulations in your business operations
  • Notify us immediately of any material changes to your business or circumstances
  • Maintain the confidentiality of any proprietary information shared by FusionCrate
  • Use our services only for lawful business purposes

3. Payment Terms

Payment terms will be specified in individual service agreements or invoices. Unless otherwise agreed:

  • Fees are due within 30 days of invoice date
  • Late payments may incur interest charges at the rate permitted by German law
  • Services may be suspended for overdue accounts
  • All fees are exclusive of applicable taxes unless otherwise stated
  • Refunds are provided only in accordance with our specific refund policy

4. Professional Standards

FusionCrate maintains high professional standards in all service delivery. We commit to:

  • Providing services with professional competence and due care
  • Maintaining client confidentiality in accordance with professional standards
  • Acting in your best interests within the scope of our engagement
  • Identifying and managing any conflicts of interest appropriately
  • Keeping abreast of relevant legal and regulatory developments

Intellectual Property

All intellectual property rights in materials, documents, templates, and work products created by FusionCrate remain the property of FusionCrate unless explicitly transferred in writing. This includes:

  • Proprietary methodologies and frameworks
  • Template documents and forms
  • Analysis tools and software
  • Training materials and presentations
  • Website content and marketing materials

Clients receive a non-exclusive licence to use work products specifically created for their engagement. Clients may not reproduce, distribute, or commercialise FusionCrate's proprietary materials without written consent.

5. Confidentiality

Both parties acknowledge that confidential information may be shared during the course of the engagement. We agree to:

  • Maintain strict confidentiality of all client information
  • Use confidential information solely for the purpose of providing services
  • Implement appropriate security measures to protect confidential data
  • Not disclose confidential information to third parties without consent
  • Return or destroy confidential information upon termination of services

Limitation of Liability

To the maximum extent permitted by German law, FusionCrate's liability for any claims arising from or related to our services is limited as follows:

  • Our total liability shall not exceed the fees paid for the specific service giving rise to the claim
  • We shall not be liable for any indirect, consequential, or punitive damages
  • We shall not be liable for losses arising from client's failure to follow our advice
  • We shall not be liable for losses due to changes in law or regulation after advice is given
  • Claims must be brought within one year of the date the client became aware of the facts giving rise to the claim

Nothing in these terms shall limit liability for death, personal injury, fraud, or any other liability that cannot be excluded by law.

6. Force Majeure

Neither party shall be liable for any failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, war, terrorism, pandemic, or technical failures.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Munich, Germany.

For clients located within the European Union, nothing in these terms affects your rights as a consumer under applicable EU consumer protection laws.

Termination

Either party may terminate the service relationship with written notice. Termination provisions include:

  • 30 days' notice for ongoing service arrangements
  • Immediate termination for material breach of these terms
  • Immediate termination for non-payment of fees
  • Client remains liable for fees incurred up to the termination date
  • We will provide reasonable assistance in transitioning services to another provider
  • Confidentiality obligations survive termination

7. Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these terms. By using our services, you consent to our data processing practices as described in the Privacy Policy.

8. Modifications

We reserve the right to modify these Terms of Service at any time. Material changes will be communicated to clients with at least 30 days' notice. Continued use of our services after modification constitutes acceptance of the updated terms.

9. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

10. Entire Agreement

These Terms of Service, together with any specific service agreements and our Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements and understandings relating to the subject matter.
